Organizer Addendum

This Addendum applies to all Organizers using the Eve platform (operated by Eve Technologies Ltd., Israel) and is supplemental to the Terms of Service. Version 2026-10-08.

1. Role of the Platform

Eve is a neutral marketplace intermediary. Eve does not produce, host, insure, supervise, or deliver any event. Eve is not a party to any Ticket Sale Contract. Where the selected payment model routes customer funds through Eve, Eve acts as the Organizer’s limited commercial agent to list inventory, collect payment, and remit proceeds, and is the settlement merchant (merchant of record), as described in Section 4. For Direct Charges, the Organizer’s connected account is the Stripe merchant of record. In every model the Organizer is the seller of the ticket, and a completed Customer payment through the Platform discharges the Customer’s payment obligation to the Organizer.

Except for that limited payment-collection agency, Eve is not the organizer, promoter, venue operator, seller of tickets, employer, agent, partner, or representative of the Organizer. The Organizer, not Eve, is the seller of tickets and the organizer, operator, and promoter of each Event. Eve provides a technology platform offering software, ticketing, payment facilitation, communication, and related services only.

Except for that limited agency, nothing in this Addendum or in the use of the Platform creates a partnership, joint venture, agency, employment, or fiduciary relationship between Eve and the Organizer.

2. Organizer Responsibilities and Warranties

  • Planning, production, staffing, venue, safety, licensing, permitting, insurance, and execution.
  • Accuracy and legality of all event content.
  • Compliance with all applicable laws (consumer protection, accessibility, public-gathering, tax, privacy, IP, safety).
  • All representations to customers, including refund, cancellation, rescheduling, and transfer policies.
  • Fulfillment of every Ticket Sale Contract.
  • Collection and remittance of VAT/GST/sales tax/withholding tax.
  • Income reporting and all accounting obligations arising from ticket sales and event revenues in each jurisdiction in which the Organizer operates.
  • Business registration and any authorizations required to operate as an event organizer under applicable law.
  • Determining and complying with all local legal, regulatory, and consumer protection requirements applicable to the Organizer’s activities.
  • Obtaining all rights, licenses, consents, and permissions for every event (artists, performers, trademarks, images, recordings).
  • Providing attendee support and responding to attendee inquiries in a timely manner.
  • Notifying attendees promptly of any material changes to the Event, including cancellations, postponements, venue changes, lineup changes, or rescheduling.
  • Making all legally required disclosures, notices, and communications to attendees under applicable consumer protection and event law.
  • Issuing all legally required refunds and processing returns in compliance with applicable law and the Organizer’s own policies disclosed at the time of ticket purchase.

The Organizer further represents, warrants, and agrees on a continuing basis that:

  • Organizer has the legal right to organize, promote, and sell tickets for the Event in the relevant jurisdiction.
  • Organizer has obtained, or will obtain before the Event, all permits, licenses, approvals, venue permissions, and other authorizations required by applicable law.
  • Organizer is duly authorized to collect payments from Customers in connection with the Event.
  • All information provided to Eve is true, complete, accurate, and not misleading.
  • Organizer will not use the Platform for any unlawful purpose or activity.

3. Prohibited Events

  • Events violating law (hate, violence, terrorism, unlawful discrimination).
  • Illegal goods, controlled substances, or unlicensed regulated activity.
  • Content infringing third-party IP, privacy, publicity, or contractual rights.
  • Fraudulent, deceptive, or misleading listings.
  • Activity prohibited by Stripe or any Payment Provider acceptable-use policy.

4. Payments

4.1 Stripe Connect Mode (default)

Stripe Connect Mode supports Direct Charges, Destination Charges, and Separate Charges and Transfers, selected in Payment settings and snapshotted on each event and order. For Direct Charges, the charge and refund live on the Organizer’s connected account, that account is the Stripe merchant of record, Stripe deducts its Provider Costs there, and Eve collects its disclosed application fee. For Destination Charges, the charge and refund live on Eve’s platform account, Stripe automatically transfers the Organizer’s share, and Eve reverses that transfer with a refund; Eve’s application fee includes the Eve Fees and the provisional Provider Cost reserve described in Section 7.6 of the Terms of Service. For Separate Charges and Transfers, the charge and refund live on Eve’s platform account, Eve creates a separate transfer of the Organizer’s share and explicitly reverses that transfer for a refund; a Separate transfer is reversed explicitly and not automatically by Stripe, and the Organizer bears the Provider Costs deducted from Eve’s platform balance. Eve deducts the verified original payment cost before making the Separate transfer and holds that transfer until the cost is verified. Eve is the settlement merchant (merchant of record) for Destination Charges and Separate Charges and Transfers; the connected account is the Stripe merchant of record for Direct Charges. The Organizer remains the seller and the only party to the Ticket Sale Contract in every model. Stripe controls connected-account KYC, bank details, and payouts under its Connected Account Agreement.

4.2 Platform-Handled Payment Mode

Where enabled, Eve receives customer funds as limited collection agent. Funds are held pending settlement, are not deposits, bear no interest, and are subject to set-off, recoupment, reserves, and holds. Title to the funds remains with the Organizer until Payout, less Eve Fees, Provider Costs and amounts owed to Customers.

5. Fees

Eve Fees are set out in the Fee Schedule at goeve.io/fees. Eve may change Eve Fees on at least thirty (30) days’ notice, unless the law requires a shorter period; a change never applies to an order placed before it takes effect, and an Organizer that does not accept a change may stop publishing new events before it takes effect, without penalty. Differentiated fee structures may apply per Organizer, volume, region, event type, or risk profile. Provider Costs, including Currency-Conversion Costs, are not Eve Fees. Their allocation depends on the payment model: the Organizer bears them for Direct Charges, Destination Charges, Separate Charges and Transfers, and Platform-Handled Payment Mode. They are determined, collected, and reported as set out in Section 7.6 of the Terms of Service.

6. Payouts, Holds, and Reserves

Payout schedules are indicative only and not guaranteed. Eve may delay, suspend, withhold, freeze, or reverse any payout in circumstances including: suspected fraud; open or elevated chargebacks; AML/CTF, sanctions, or tax review; unusual sales velocity; pending event execution; regulatory or law-enforcement request; insolvency; breach of these Terms or the Payment Provider terms; or any other material risk.

Eve may impose rolling or fixed reserves against chargeback, refund, or compliance risk, adjust them as risk changes, and retain them beyond event completion or account closure. Eve has a general right of set-off against any amounts owed by the Organizer.

Where funds have already been disbursed, Eve may recover previously paid amounts and reverse platform settlements by deducting from future payouts, debiting the Organizer account, or demanding repayment, to the extent legally permitted in the applicable circumstances.

7. Chargebacks and Refunds

The Organizer is fully liable for all Chargebacks, reversals, refunds, and disputed amounts, plus Payment Provider fines and costs allocated to it under Section 7.6 of the Terms of Service. Eve may deduct these from Payouts, issue a Direct-charge refund on the connected account, reverse a Destination transfer, explicitly reverse a Separate transfer where Stripe permits it, debit the Organizer account, offset against balances, or require reimbursement within five (5) business days. The Organizer handles and decides refunds in line with its own policy and applicable consumer law; Eve processes approved refunds for payments made through the Platform. If the Organizer cancels the whole Event, Eve may initiate the mandatory 100% buyer-paid refunds described in Section 5.2 of the Terms of Service. If Eve reasonably concludes that an Event will not occur as advertised, it may preserve held balances and process a refund approved under the policy recorded for the purchase or required by applicable law or the Ticket Sale Contract. Postponements, relocations, other material changes and non-delivery are not treated as a whole-event cancellation unless the Organizer cancels the Event; nothing in this paragraph reduces any stronger right under applicable law or contract.

Payment-provider costs, including currency-conversion costs, are allocated by payment model under Section 7.6 of the Terms of Service and are not added to the price a customer pays. The organizer bears them in every payment model, subject to the collection limits and historical allocations in that section. When a Stripe payment is refunded, Stripe generally does not return the processing and currency-conversion fees it charged on the original payment.

Where that original Stripe cost is allocated to the organizer, the customer bears the attributable part that is not returned on a refund, deducted only where mandatory law and the terms disclosed for that purchase permit. No such deduction applies to a cost allocated to Eve. This cost is separate from any cancellation fee. Statutory limits and rights to a full refund take precedence, and no amount may be deducted merely because it is described as a processing cost. If the organizer cancels the whole event, or a full refund is otherwise mandatory, the customer receives everything paid — including booking, service, handling and platform fees — and the organizer bears every Stripe processing or currency-conversion cost.

Any deduction must be based on verified provider-fee records for the original payment, in the currency in which the customer was charged, and never on an assumed rate. The original cost is allocated proportionately across partial refunds and may not be collected more than once. Confirmed fee credits or payment reversals reduce the retained cost.

The refund amount and each permitted deduction are disclosed before confirmation. The terms applicable to an existing purchase and the amount of a confirmed refund are not changed retroactively. Eve’s own platform, service or payout fees are refunded or retained only as the terms disclosed for the purchase and applicable law provide.

Stripe may separately charge a fee for issuing a refund, depending on the payment method and pricing agreement. That fee follows the same model-specific allocation: the organizer bears it in every payment model, subject to the collection limits and historical allocations in Section 7.6. It is never deducted from the customer’s refund, and an unknown future fee is never charged to the customer retroactively.

8. Currency and Currency Conversion

Each event sells in the event currency set from the Organizer’s account (normally the currency of the Organizer’s country), and Customers are charged in that currency; Eve does not offer Customers dynamic currency conversion, and no payment-processing or currency-conversion cost is added to the price Customers pay. A fee set in US dollars is converted into the event currency when the price is quoted and rounded up to the next whole unit, as described in Section 8 of the Terms of Service. Currency-Conversion Costs are allocated by payment model under Section 7.6 of the Terms of Service: the Organizer bears them for Direct Charges, Destination Charges, Separate Charges and Transfers, and Platform-Handled Payment Mode. They are determined from Stripe’s records in the charge currency. Eve adds no mark-up or spread and, for Organizer-borne Destination costs, keeps no part apart from the rounding remainder described in Section 7.6(c). Payouts in Platform-Handled Payment Mode are made in the event currency. Any later conversion by the Organizer’s bank, or on its Stripe connected account, is at that institution’s rate and at the Organizer’s cost under its own agreement with it. Eve does not guarantee any exchange rate and is not liable for exchange-rate movements, except to the extent caused by its own breach.

9. Risk Controls and Compliance

Eve may at any time require KYB / identity / beneficial-ownership documentation, tax documentation, and proof of event authorization, and may condition continued access on satisfactory response. During investigations Eve may pause transactions and payouts, depublish listings, restrict functionality, impose reserves, and share information with Payment Providers, banks, regulators (including the Israel Money Laundering and Terror Financing Prohibition Authority where applicable), and law enforcement. Eve is not obliged to disclose risk-control reasons, methods, or algorithms except as required by law.

10. Suspension and Termination

Eve may suspend, restrict, or close an Organizer account; depublish events; cap sales; restrict payouts; impose reserves; or require re-verification, with or without prior notice, where there is breach, suspected fraud, elevated chargebacks, regulatory or Payment Provider requirements, or material reputational risk. On termination, Eve may retain funds, reserves, and records for as long as reasonably necessary to resolve chargebacks, refunds, disputes, tax, and regulatory obligations.

11. Indemnification

The Organizer will indemnify, defend, and hold harmless Eve, its affiliates, and their respective owners, officers, directors, employees, agents, and service providers from any claim, liability, loss, damage, fine, penalty, chargeback, tax, cost, or expense (including reasonable attorneys’ fees) arising from or relating to:

  • Any breach of these Terms or any Organizer representation or warranty.
  • The Organizer’s event, including cancellation, non-performance, injury, property damage, dissatisfaction, or any act or omission of the Organizer, venue, performer, or their agents.
  • Violation of any applicable law or regulation.
  • Failure to obtain or maintain any required permit, license, approval, or authorization for the Event.
  • Failure to determine, collect, report, or remit any tax or comply with any reporting obligation.
  • Inaccurate, misleading, or incomplete information provided to Eve or to Customers.
  • Organizer content, marketing materials, or ticket sales activities.
  • Any chargeback, refund, or dispute arising from ticket sales.
  • Infringement of any third-party intellectual property, privacy, or publicity right.
  • Regulatory inquiry, enforcement action, fine, or penalty directed at or resulting from Organizer’s activities.

12. Warranty Disclaimer and Liability Cap

The Platform is provided "as is" and "as available" without warranty of any kind, to the maximum extent permitted by law. Eve’s aggregate liability to the Organizer will not exceed the greater of (a) Eve Fees paid by or retained from the Organizer in the twelve (12) months preceding the claim, excluding Provider Costs passed through under Section 7.6 of the Terms of Service, or (b) USD 1,000. Nothing limits liability that cannot be limited under Israeli law.

13. Data Processing

Where the Organizer receives personal data of customers via the Platform, the Organizer acts as an independent controller and must comply with applicable data-protection law (including the Israeli Protection of Privacy Law, 5741–1981, and the GDPR where it applies). Where Eve processes personal data on the Organizer’s behalf — the Organizer’s customer and contact records, imported contact lists, campaign audiences, attendee answers and check-in activity — Eve acts as the Organizer’s processor, and this Section is the processing agreement required by GDPR Art. 28(3) and by regulation 15 of the Protection of Privacy (Data Security) Regulations, 5777–2017.

13.1 Scope of the processing

  • Subject matter and purpose: operating the Platform features the Organizer uses — the customer/CRM records, contact imports, email and SMS campaigns, registration answers, check-in and the reporting built on them.
  • Duration: for as long as the Organizer’s account is open, plus the retention periods stated in the Privacy Policy.
  • Types of personal data: name, email address, phone number, language and country, ticket and order history, registration answers, check-in activity, and any further field the Organizer chooses to collect or import.
  • Categories of data subjects: the Organizer’s customers, attendees, registrants, invitees and imported contacts.

13.2 Eve’s obligations as processor

  • Process the data only on the Organizer’s documented instructions — the Organizer’s use of the Platform, these Terms, and any further written instruction — including as to transfers, unless required otherwise by law, in which case Eve informs the Organizer first unless the law forbids it.
  • Ensure that everyone authorized to process the data is bound by confidentiality.
  • Apply the technical and organizational security measures described in the Privacy Policy and required by the Data Security Regulations and GDPR Art. 32.
  • Engage sub-processors only under a written agreement imposing equivalent obligations; the current sub-processors are the processors listed in the Privacy Policy, and Eve gives notice before adding or replacing one so the Organizer can object.
  • Assist the Organizer, taking into account the nature of the processing, with responses to data-subject requests and with its obligations under GDPR Arts. 32–36, including notifying the Organizer without undue delay after becoming aware of a personal-data breach affecting its data.
  • On the Organizer’s instruction, and in any case when the account closes, delete or return the personal data, except where law requires Eve to keep it (for example financial records) — that copy stays subject to this Section.
  • Make available the information needed to demonstrate compliance with this Section and allow and contribute to audits, including inspections, by the Organizer or an auditor it mandates, at reasonable intervals and on reasonable notice.

13.3 The Organizer’s obligations as controller

  • Have a lawful basis for every contact it uploads, messages or segments, and give the notice its own data subjects are owed.
  • Collect through the Platform only what the event genuinely needs; do not use registration questions or imports to gather identity numbers, health information or payment details.
  • Hold genuine consent before sending marketing, and honour every opt-out the Platform records.

14. Governing Law

These Terms are governed by the laws of the State of Israel. The parties submit to the exclusive jurisdiction of the competent courts of Tel Aviv–Jaffa, subject to non-excludable consumer rights. Disputes may be resolved by arbitration administered by the Israeli Institute of Commercial Arbitration, seated in Tel Aviv, conducted in English, where permitted by law.

15. Acceptance

The Organizer must accept this Addendum and the Terms of Service (and any applicable Payment Provider terms, including Stripe’s Connected Account Agreement) before publishing any event or receiving any payment.

16. SMS Messaging

  • Organizers may use the Platform to send SMS messages to attendees who have purchased tickets for their events.
  • Permitted SMS uses: event reminders, updates, venue changes, schedule changes, ticket and check-in information, and customer support communications directly related to the purchased event.
  • Prohibited SMS uses: marketing campaigns, promotional messages, advertising of future events, and commercial messages unrelated to the purchased event.
  • The Organizer is solely responsible for the content of all SMS messages and for compliance with all applicable laws and regulations in their jurisdiction, including those governing electronic commercial communications and SMS marketing.
  • The Platform provides only the technical infrastructure for SMS message delivery and bears no responsibility for message content.
  • Eve may suspend or terminate an Organizer’s SMS access at any time for abuse, spam, illegal activity, policy violations, or any other conduct that Eve reasonably deems harmful to customers or the Platform.

17. No Tax, Accounting, or Legal Advice

Eve does not provide tax, accounting, or legal advice. Nothing in these Terms, the Platform, or any communications from Eve constitutes advice on tax obligations, income reporting, accounting treatment, business registration, regulatory compliance, or any other matter of law. The Organizer is solely responsible for consulting qualified advisers and for determining and fulfilling all legal and regulatory obligations applicable in their jurisdiction.

By creating events, selling tickets, or receiving payouts through the Platform, the Organizer acknowledges and accepts sole responsibility for all taxes, income reporting, accounting obligations, business registrations, permits, licenses, consumer protection compliance, and all other legal and regulatory requirements applicable to the Organizer’s activities in each jurisdiction in which the Organizer operates.
