These Terms govern your use of the Eve platform operated by Eve Technologies Ltd. (Israel). The platform is a marketplace intermediary between event organizers and customers. Eve is not the organizer of any event and is not the seller of any ticket. For Destination Charges, Separate Charges and Transfers, and Platform-Handled Payment Mode, Eve acts as the Organizer’s limited payment-collection agent and is the settlement merchant (merchant of record) for the payment transaction. For Direct Charges, the Organizer’s connected account is the Stripe merchant of record. In every model the Organizer remains the seller of the ticket, as described in Section 6. By creating an account, listing an event, or purchasing a ticket, you agree to these Terms. Version 2026-10-08.
1. Definitions

2. Role of the Platform
Eve is a neutral technology intermediary. Eve does not produce, host, insure, supervise, or deliver any event, and does not verify or warrant the accuracy, legality, quality, safety, or fitness for purpose of any event or event content. Listings and search rankings do not constitute endorsement.
Eve is not a party to any Ticket Sale Contract. Where the selected payment model routes customer funds through Eve, Eve acts as a limited commercial agent of the Organizer solely to list inventory, collect payment from Customers on the Organizer’s behalf, and remit the proceeds, as described in Section 6. A Customer’s completed payment through the Platform discharges the Customer’s payment obligation to the Organizer.
Except for the limited payment-collection agency described in Section 6, Eve is not the organizer, promoter, venue operator, seller of tickets, employer, agent, partner, or representative of any Organizer. The Organizer, not Eve, is the seller of tickets and the organizer, operator, and promoter of each Event. The Organizer is solely responsible for the event and its execution, event information accuracy, attendee communications, legally required refunds, disclosures, notices, and consumer protection compliance.
Except for that limited agency, nothing in these Terms or in the use of the Platform creates a partnership, joint venture, agency, employment, or fiduciary relationship between Eve and any Organizer or Customer.
3. Acceptance and Eligibility
You must be 18+ (or the age of majority in your jurisdiction) and able to enter into binding contracts. You must expressly accept these Terms (a) at account creation, (b) before publishing an event, and (c) before purchasing a ticket. Continued use after an amendment constitutes acceptance. You, your account, and your beneficial owners must not be subject to UN, US (OFAC), EU, UK, or Israeli sanctions or located in a sanctioned territory.
4. Organizer Terms
4.1 Organizer responsibilities
- Planning, production, staffing, venue, health and safety, licensing, permitting, insurance, and execution of each event.
- Accuracy, completeness, legality, and non-infringing nature of all event content.
- Compliance with all applicable laws (consumer protection, advertising, accessibility, tax, privacy, IP, safety).
- All representations made to customers, including refund, cancellation, rescheduling, and transfer policies.
- Fulfillment of every Ticket Sale Contract.
- Collection and remittance of VAT, Israeli VAT, sales tax, withholding tax, or other applicable taxes.
- Income reporting and all accounting obligations arising from ticket sales and event revenues in each jurisdiction in which the Organizer operates.
- Business registration and any authorizations required to operate as an event organizer under applicable law.
- Determining and complying with all local legal, regulatory, and consumer protection requirements applicable to the Organizer’s activities.
- Obtaining all rights, licenses, and permissions required to sell tickets (artists, performers, trademarks, images, recordings).
- Providing attendee support and responding to attendee inquiries in a timely manner.
- Notifying attendees promptly of any material changes to the Event, including cancellations, postponements, venue changes, lineup changes, or rescheduling.
- Making all legally required disclosures, notices, and communications to attendees under applicable consumer protection and event law.
- Issuing all legally required refunds and processing returns in compliance with Applicable Law and the Organizer’s own policies disclosed at the time of ticket purchase.
4.2 Prohibited events
- Events that violate law (hate speech, violence, terrorism, unlawful discrimination).
- Illegal goods, controlled substances, or unlicensed regulated activity (gambling, unauthorized securities, fundraising).
- Content infringing any third-party IP, privacy, publicity, or contractual right.
- Fraudulent, deceptive, or misleading listings.
- Activity prohibited by Stripe or other Payment Provider acceptable-use policies.
- Any event Eve reasonably deems to pose unacceptable legal, reputational, or financial risk.
4.3 Platform risk controls
The Organizer expressly agrees Eve may, at its reasonable discretion and without prior notice where impracticable: request KYB/ownership documentation, require enhanced due diligence, depublish or restrict listings, cap sales volume or velocity, impose transaction caps, hold or delay payouts per Section 7, and suspend or terminate the account.
4.4 Organizer representations and warranties
Organizer represents, warrants, and agrees on a continuing basis that:
- Organizer has the legal right to organize, promote, and sell tickets for the Event in the relevant jurisdiction.
- Organizer has obtained, or will obtain before the Event, all permits, licenses, approvals, venue permissions, and other authorizations required by applicable law.
- Organizer is duly authorized to collect payments from Customers in connection with the Event.
- All information provided to Eve is true, complete, accurate, and not misleading.
- All required intellectual property rights, licenses, and third-party consents are in place; Event Content does not infringe any third-party right.
- Use of the Platform does not violate any applicable law or any agreement with a third party.
- Every Ticket Sale Contract will be honored or, where cancellation is unavoidable, handled in compliance with applicable consumer law.
- Organizer will not use the Platform for any unlawful purpose or activity.
5. Customer Terms
5.1 Nature of the transaction
When you buy a ticket you enter into a Ticket Sale Contract directly with the Organizer. Eve is not the seller. The Organizer — not Eve — is responsible for the event, including cancellation, postponement, rescheduling, quality, safety, accessibility, and all representations.
5.2 Refunds
- Customers have the cancellation rights set out in the Cancellation & Refund Policy and in applicable law — for Israeli consumers, the Consumer Protection Law, 5741–1981 (§14C cancellation window, §14E refund mechanics and cancellation-fee cap, §14C1 extended period for people with disabilities, senior citizens and new immigrants). Those rights cannot be reduced by these Terms or by an Organizer policy.
- Beyond those rights, the policy recorded for an ordinary or voluntary order-refund request is resolved in this order: Event policy → Organization policy → applicable Country policy → Platform default. A higher-priority layer replaces only the lower-priority default; mandatory law is a non-waivable floor, not an optional policy setting. Where the resolved policy is silent, tickets are refundable only with the Organizer’s agreement.
- Where the Organizer cancels the whole Event, the Customer is refunded 100% of everything they paid — including booking, service, handling and platform fees — with no cancellation fee or deduction for Stripe processing or currency-conversion costs. The Organizer bears those Stripe costs. This mandatory whole-event cancellation result cannot be reduced by any Event, Organization, Country or Platform policy layer. Eve will facilitate the refund through the Stripe account on which the charge was created, and the fee treatment in Section 12 cannot reduce it. Postponements, relocations, other material changes and non-delivery remain subject to the policy recorded for the purchase and any stronger remedy required by applicable law or the Ticket Sale Contract; they are not treated as a whole-event cancellation unless the Organizer cancels the Event, and nothing in this paragraph reduces those rights.
- Eve may, at its sole discretion, assist in resolving refund disputes. Such assistance does not assume the Organizer’s obligations.
5.3 Chargebacks and ticket use
Please contact the Organizer (and Eve support) before initiating a chargeback. Unjustified chargebacks may result in account suspension. Tickets may not be resold, transferred, or used commercially without the Organizer’s prior consent and Eve’s resale rules. Nothing in these Terms excludes non-waivable consumer rights under the Israeli Consumer Protection Law.
5.4 SMS and WhatsApp communications
- By completing a ticket purchase you consent to receive SMS or WhatsApp messages from the event organizer related to the purchased event, at the number you provided.
- Permitted service communications include: event reminders, updates, venue changes, schedule changes, ticket information, check-in information, and customer support regarding your purchased event.
- Messaging under this consent does not include marketing campaigns, promotional messages, future event advertising, or unrelated commercial messages. Those require the separate, optional marketing opt-in offered at checkout, which you can withdraw at any time.
- Organizers are solely responsible for the content of SMS messages sent through the Platform and for compliance with all applicable laws in their jurisdiction.
- The Platform provides only the technical infrastructure for message delivery.
6. Payments and Financial Flows
6.1 Stripe Connect Mode (default)
Stripe Connect Mode supports three charge models selected in Payment settings and snapshotted on each event and order. (i) Direct Charges: the charge is created on the Organizer’s connected account; the Organizer’s connected account is the Stripe merchant of record, Stripe deducts its Provider Costs there, and Eve collects its disclosed application fee. (ii) Destination Charges: the charge is created on Eve’s platform account and Stripe automatically transfers the Organizer’s share to the connected account; Eve’s application fee includes the Eve Fees and a provisional reserve for Provider Costs, with any excess returned as set out in Section 7.6. (iii) Separate Charges and Transfers: the charge is created on Eve’s platform account and Eve subsequently creates a separate transfer of the Organizer’s share to the connected account; Stripe deducts Provider Costs from Eve’s platform balance and Eve deducts the verified original payment cost from the Organizer’s Separate transfer. For Destination Charges and Separate Charges and Transfers, Eve is the settlement merchant (merchant of record), acting as the Organizer’s limited payment-collection agent. For Direct Charges, the Organizer’s connected account is the Stripe merchant of record. In every model the Organizer remains the seller of the ticket and the only party to the Ticket Sale Contract with the Customer. Direct-charge refunds are created on the connected account; destination-charge refunds are created on Eve’s platform account with the corresponding transfer reversal; and separate-charge refunds are created on Eve’s platform account with an explicit reversal of the Separate transfer, which Stripe does not reverse automatically. Stripe controls onboarding, KYC, bank-account collection, and payouts for the connected account; Eve’s Platform-Handled Payment onboarding checklist does not gate ordinary Stripe Connect activation, although Eve may separately require compliance information under Section 10. The Stripe Connected Account Agreement governs the connected account and Eve is not liable for any Stripe outage, delay, hold, reserve, or termination on it.
6.2 Platform-Handled Payment Mode
Under this Mode, Eve receives customer funds as a limited collection agent of the Organizer. Funds are held pending settlement and are not deposits, do not bear interest, and are not guaranteed by any deposit-insurance scheme. Title to the funds remains with the Organizer (less Eve Fees, Provider Costs and amounts owed to Customers) subject to Eve’s rights of set-off, recoupment, reserve, and hold.
Funds are not transferred to the Organizer at sale time. Eve disburses funds only after the event has ended, the hold window has elapsed, and Eve has completed its review. There is no fixed payout deadline. Eve may delay or suspend Payouts at its discretion under Section 7.3, including for fraud, refunds, chargebacks, or operational risk.
6.3 Authorization
The Organizer irrevocably authorizes Eve (and any designated Payment Provider) to: receive customer payments on its behalf where the selected model routes funds through Eve; deduct Eve Fees, Provider Costs allocated to the Organizer, taxes Eve is required by law to withhold, Chargebacks and refunds; collect the Provider Cost reserve for Destination Charges and return any excess, as set out in Section 7.6; create Separate transfers; initiate Payouts; and process refunds, transfer reversals, and set-offs.
6.4 Chargebacks and recoupment
The Organizer is fully liable for all Chargebacks, reversals, refunds, and disputed amounts, plus Payment Provider fines and costs allocated to it under Section 7.6. Eve may deduct these from current or future Payouts, issue a Direct-charge refund on the connected account, reverse a Destination or Separate transfer to the Organizer’s connected account where Stripe permits it, debit the Organizer account, offset them against balances or fees, or demand reimbursement within five (5) business days.
6.5 Taxes
Eve Fees are exclusive of taxes (including Israeli VAT) unless stated. The Organizer is solely responsible for determining, collecting, reporting, and remitting all taxes applicable to ticket sales. Nothing in these Terms constitutes tax, accounting, or legal advice. The Organizer is solely responsible for determining and complying with all applicable laws in their jurisdiction.
7. Fees, Payouts, and Financial Controls
7.1 Fees
Eve Fees are set out in the Fee Schedule at goeve.io/fees. Eve may change Eve Fees on at least thirty (30) days’ prior notice, unless the law requires a shorter period. A change never applies to an order placed before it takes effect, and an Organizer that does not accept a change may stop publishing new events before it takes effect, without penalty. Provider Costs are not Eve Fees: they are passed through at the Payment Provider’s actual cost under Section 7.6 and change only when the Payment Provider changes its own charges. Differentiated fee structures may apply per Organizer, region, volume, event type, or risk profile, as agreed with the Organizer or as stated in the Fee Schedule.
7.2 Payouts (indicative only)
Payout schedules shown in the Organizer dashboard are indicative only and are not guaranteed. Settlement times depend on banking rails, Payment Provider processing, risk review, and chargeback windows. Eve does not warrant any specific payout deadline.
7.3 Holds, delays, suspension, and recovery
Eve may at its reasonable discretion delay, suspend, withhold, freeze, or reverse any payout, in whole or in part, for as long as it considers reasonably necessary, in circumstances including: suspected fraud or misrepresentation; open or elevated chargebacks; AML/CTF, sanctions, or tax reviews; unusual sales patterns; pending event execution; regulatory or law-enforcement request; insolvency; breach of these Terms or the Payment Provider terms; restrictions imposed by the Payment Provider; or any other circumstance where releasing funds would expose Eve, customers, or other organizers to undue risk.
Where funds have already been disbursed, Eve may recover previously paid amounts and reverse platform settlements by deducting from future payouts, debiting the Organizer account, or demanding repayment, to the extent legally permitted in the applicable circumstances.
7.4 Reserves and set-off
Eve may require rolling or fixed reserves to protect against chargeback, refund, or compliance risk, and may adjust reserves as risk changes. Reserves may persist beyond event completion and account closure. Eve has a general right of set-off against any amounts owed by the Organizer to Eve, its affiliates, or the Payment Provider.
7.5 No guaranteed revenue
Eve does not guarantee any minimum ticket sales, revenue outcome, payout amount, payout timing, or continued availability of any platform feature.
7.6 Payment-provider and currency-conversion costs
(a) Allocation. The Organizer bears Provider Costs in every payment model, subject to the collection limits and historical allocations below. "Provider Costs" are the fees a Payment Provider actually charges in connection with a payment, refund or Chargeback on the Organizer’s event, including processing, international-card, currency-conversion, dispute and refund-issuance fees, less any fee the Payment Provider actually credits back. "Currency-Conversion Costs" are the part of Provider Costs charged for converting a payment, refund or Chargeback amount from the charge currency into another currency. Provider Costs for Direct Charges are deducted by Stripe from the connected account and are borne by the Organizer. Provider Costs for Destination Charges and Platform-Handled Payment Mode are passed through to the Organizer at cost, without mark-up; apart from the rounding remainder described in paragraph (c), Eve keeps no part of the amounts collected for them. For Separate Charges and Transfers, Stripe deducts Provider Costs from Eve’s platform balance and Eve deducts the verified original payment cost from the Organizer’s Separate transfer. No Provider Cost is added to the price a Customer pays.
(b) Source, currency and rounding. Each Provider Cost is taken from the Payment Provider’s own record of the payment, refund or Chargeback (for Stripe, its balance transaction) and is stated in the charge currency. Where Stripe records a fee in another currency, Eve converts it into the charge currency at the rate Stripe actually applied, that is, by the ratio between the charged amount and the settled amount on that same record, and rounds the result to the nearest minor unit of the charge currency, with half a unit rounded up. That charge-currency figure is the Provider Cost shown under paragraph (f). No estimated, average or assumed exchange rate is used.
(c) Destination Charges. Stripe collects a provisional reserve for the Provider Costs of each Destination Charge as part of Eve’s application fee on that payment. The reserve is at most seven per cent (7%) of the payment amount plus twice Stripe’s minimum charge amount for the charge currency (rounded up to the smallest amount unit Stripe accepts in that currency), and never more than the part of the payment amount that remains after Eve Fees. As soon as Stripe’s balance-transaction record for the payment is available, Eve returns the part of the reserve that exceeds the actual Provider Cost to the Organizer’s connected account, by refunding that part of the application fee. Where Stripe converts the returned amount into another currency, because the payment settles to Eve’s Stripe balance in a currency other than the charge currency (the settlement currency), Stripe converts it at the exchange rate of the original payment and rounds it to the nearest minor unit of the settlement currency. In that case Eve returns the largest amount, in units Stripe accepts in the charge currency and not exceeding the reserve, whose converted value does not exceed the reserve as credited to Eve’s Stripe balance (the application fee credited, less the Eve Fees converted at that rate) minus the actual Provider Cost as Stripe recorded it in the settlement currency. Because the return is sized in the settlement currency, the part of the reserve withheld, expressed in the charge currency, can differ from the figure under paragraph (b), and Eve keeps any rounding remainder, which is never more than one minor unit of the settlement currency or, if greater, the value at that rate of the smallest amount unit Stripe accepts in the charge currency. Eve records that remainder for each payment and shows it in the per-order breakdown under paragraph (f). If the actual Provider Cost exceeds the reserve, no more than the reserve is collected from that payment, and Eve may set off the difference against other amounts due to the Organizer.
(d) Other models and offline collection. For Direct Charges, Stripe deducts Provider Costs from the connected account under the Organizer’s Stripe agreement. For Separate Charges and Transfers, Stripe deducts Provider Costs from Eve’s platform balance and Eve deducts the verified original payment cost from the Organizer’s Separate transfer, without mark-up. The transfer is held until the original payment cost is verified; an unknown cost is not treated as zero. In Platform-Handled Payment Mode, Provider Costs are deducted from the Organizer’s balance before Payout; while a Provider Cost is not yet known, Eve may hold the corresponding part of the balance until the Payment Provider’s record is available. Where the Organizer collects payment outside the Platform, it bears the costs of that collection directly.
(e) Refunds and Chargebacks. Fees a Payment Provider charges for issuing a refund or in connection with a Chargeback, and original fees it does not return when a payment is refunded, follow the allocation in paragraphs (a), (c), and (d), except to the extent that part of an Organizer-borne unreturned original fee is lawfully deducted from the Customer’s refund under the terms disclosed for that purchase (Section 12). Eve may recover Organizer-borne amounts by set-off under Section 7.4, by issuing the refund on the connected account for Direct Charges, by reversing the automatic transfer for Destination Charges, or by explicitly reversing the Separate transfer for Separate Charges and Transfers, where Stripe permits it.
(f) Statement and verification. Provider Costs are shown in the Organizer dashboard and reports. On request, Eve will provide a per-order breakdown and the Payment Provider records on which a Provider Cost is based, and will correct any amount that does not match those records. The Organizer may query any Provider Cost within sixty (60) days after it is shown.
(g) Conversions outside Eve’s account. A conversion made by Stripe on the Organizer’s connected account (for example, into the currency of a bank account that differs from the currency transferred) or by the Organizer’s bank is charged to the Organizer by that institution under the Organizer’s own agreement with it. Eve does not recover it a second time.
(h) Application. This Section 7.6 applies to orders placed on or after 26 September 2026. Eve does not recover Provider Costs of Stripe Connect Mode payments for orders placed before that date. The organizer-borne allocation for Separate Charges and Transfers applies to new orders created after this update. An existing order keeps its recorded fee allocation and purchase terms; this update does not retrospectively charge an Organizer or Customer.
8. Currency and Foreign Exchange
Each event is priced and charged in a single currency — the event currency, which is set from the Organizer’s account (normally the currency of the Organizer’s country) and is shown with every price at checkout. Customers are charged in that currency. Eve does not offer dynamic currency conversion, and no payment-processing or currency-conversion cost of the Payment Provider is added to the price the Customer pays; those costs are allocated by payment model under Section 7.6. If a Customer pays with a card or account held in a different currency, the Customer’s card issuer or bank converts the charge at its own exchange rate and may add its own foreign-transaction or conversion fee; Eve does not set, receive, or control that rate or fee. Refunds are processed in the original transaction currency, so the amount credited in the Customer’s own currency may differ from the amount originally debited.
Where a fee in the Fee Schedule is set in US dollars and the event currency is different, Eve converts the fee into the event currency when the price is quoted, at the most recent reference rate from official central-bank sources, including the European Central Bank, as published by the Frankfurter rate service (api.frankfurter.dev). If that rate is unavailable, Eve uses the rate for the event currency in a fallback table that Eve maintains. The converted per-ticket fee is rounded up to the next whole unit of the event currency; the rounding difference forms part of Eve’s fee. The converted fee is included in the total shown before payment and is fixed for the order once quoted; later exchange-rate movements do not change it. If no rate is available for the event currency, the US-dollar fee is not applied.
Stripe may convert a payment when the charge currency differs from the settlement currency and may charge a Currency-Conversion Cost. The cost is allocated under Section 7.6: the Organizer bears it for Direct Charges, Destination Charges, Separate Charges and Transfers, and Platform-Handled Payment Mode. Payouts in Platform-Handled Payment Mode are made in the event currency. Eve does not itself convert Payouts, sets no exchange rate for them, adds no exchange-rate margin, and uses no third-party currency-exchange provider. Any later conversion into another currency by the Organizer’s bank, or by Stripe on the Organizer’s connected account, is made at that institution’s rate under the Organizer’s own agreement with it. Eve does not guarantee any exchange rate and is not liable for exchange-rate movements between the sale, refund and payout dates, except to the extent caused by Eve’s breach of these Terms.
9. Third-Party Providers
The Platform depends on third parties including Stripe, cloud infrastructure, email, anti-fraud, identity verification, and communications providers. Eve makes no representation regarding their performance, availability, or security. Where a provider requires a direct agreement with you (including Stripe’s Connected Account Agreement), you are responsible for entering into and complying with it. Eve is not liable for any third-party outage, hold, reserve, freeze, suspension, or termination.
10. Risk, Fraud, Compliance, and Investigations
Eve operates risk, fraud, AML/CTF, sanctions, tax, and consumer-protection compliance programs for its own benefit and platform integrity — these do not create a duty owed to any user and are not a guarantee of detection. Eve may at any time require KYC/KYB documentation, beneficial-ownership information, tax documentation, and proof of payment-method ownership.
During an investigation Eve may pause transactions and payouts, depublish listings, restrict account functionality, impose reserves, request documentation, and share information with Payment Providers, banks, regulators, or law enforcement (including the Israel Money Laundering and Terror Financing Prohibition Authority where applicable). Eve is not obliged to disclose the reasons, methods, or algorithms used in its risk controls, except as required by law.
11. Suspension and Restriction
Eve may — with or without prior notice — suspend, restrict, or close accounts; depublish or cap listings; block sales; restrict payouts or refunds; impose reserves; or require re-verification, where there is breach or suspected breach of these Terms, actual or suspected fraud or illegality, elevated chargeback rates, regulatory or Payment Provider requirements, or material reputational risk. Eve is not liable for actions taken in good faith under this Section.
12. Refunds, Cancellations, and Disputes
Customers submit refund requests through the Organizer’s policy and/or Eve’s refund flow; the Organizer evaluates and decides, subject always to the mandatory rights in Section 5.2. In Stripe Connect Mode, Eve issues an approved refund on the Stripe account that owns the charge: on the connected account for Direct Charges, or on Eve’s platform account for Destination Charges and Separate Charges and Transfers. A Destination transfer is reversed with the refund; a Separate transfer is reversed explicitly because Stripe does not reverse it automatically. Under Platform-Handled Payment Mode, Eve may process refunds from available balances or reserves. If the Organizer cancels the whole Event, Eve may initiate refunds from held balances without further authorization; every affected Customer is refunded 100% of everything paid, including booking, service, handling and platform fees, with no cancellation fee or deduction for Stripe processing or currency-conversion costs, and the Organizer bears those costs. If Eve reasonably concludes that an Event will not occur as advertised, Eve may preserve held balances and process a refund approved under the policy recorded for the purchase or required by applicable law or the Ticket Sale Contract. A postponement, relocation, other material change or non-delivery is not automatically treated as a whole-event cancellation unless the Organizer cancels the Event; nothing in this paragraph reduces any stronger right under applicable law or contract. Disputes between customers and organizers are resolved between them; Eve may (but is not obliged to) mediate.
Payment-provider costs, including currency-conversion costs, are allocated by payment model under Section 7.6 of the Terms of Service and are not added to the price a customer pays. The organizer bears them in every payment model, subject to the collection limits and historical allocations in that section. When a Stripe payment is refunded, Stripe generally does not return the processing and currency-conversion fees it charged on the original payment.
Where that original Stripe cost is allocated to the organizer, the customer bears the attributable part that is not returned on a refund, deducted only where mandatory law and the terms disclosed for that purchase permit. No such deduction applies to a cost allocated to Eve. This cost is separate from any cancellation fee. Statutory limits and rights to a full refund take precedence, and no amount may be deducted merely because it is described as a processing cost. If the organizer cancels the whole event, or a full refund is otherwise mandatory, the customer receives everything paid — including booking, service, handling and platform fees — and the organizer bears every Stripe processing or currency-conversion cost.
Any deduction must be based on verified provider-fee records for the original payment, in the currency in which the customer was charged, and never on an assumed rate. The original cost is allocated proportionately across partial refunds and may not be collected more than once. Confirmed fee credits or payment reversals reduce the retained cost.
The refund amount and each permitted deduction are disclosed before confirmation. The terms applicable to an existing purchase and the amount of a confirmed refund are not changed retroactively. Eve’s own platform, service or payout fees are refunded or retained only as the terms disclosed for the purchase and applicable law provide.
Stripe may separately charge a fee for issuing a refund, depending on the payment method and pricing agreement. That fee follows the same model-specific allocation: the organizer bears it in every payment model, subject to the collection limits and historical allocations in Section 7.6. It is never deducted from the customer’s refund, and an unknown future fee is never charged to the customer retroactively.
13. Warranty Disclaimer
To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranty of any kind (merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted service, error-free operation, security, availability). Eve makes no representation about the quality, safety, legality, lineup, timing, venue, or execution of any event. Non-excludable consumer rights under the Israeli Consumer Protection Law, 5741–1981 are preserved.
14. Limitation of Liability
To the maximum extent permitted by law, Eve and its affiliates will not be liable for indirect, incidental, consequential, exemplary, special, or punitive damages; loss of profits, revenue, goodwill, business, opportunity, anticipated savings, or data; damages from event cancellation, postponement, or non-occurrence; damages from acts or omissions of any organizer, customer, Payment Provider, venue, or performer; damages from third-party outages, holds, or security incidents; damages from any hold, delay, suspension, restriction, termination, or account loss under these Terms; or damages from exchange-rate movements.
Eve’s aggregate liability will not exceed the greater of (a) Eve Fees paid by or retained from the claimant in the twelve (12) months preceding the claim, excluding Provider Costs passed through under Section 7.6, or (b) USD 1,000. Nothing in these Terms limits liability that cannot be limited under applicable law, including for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, willful misconduct, or any liability non-limitable under Israeli law.
15. Indemnification
The Organizer will indemnify, defend, and hold harmless Eve, its affiliates, and their respective owners, officers, directors, employees, agents, and service providers from any claim, action, proceeding, liability, loss, damage, fine, penalty, chargeback, tax, regulatory action, cost, or expense (including reasonable attorneys’ fees) arising from or relating to:
- Any breach of these Terms or any Organizer representation or warranty.
- The Organizer’s event, including cancellation, non-performance, injury, property damage, dissatisfaction, or any act or omission of the Organizer, venue, performer, or their agents.
- Violation of any applicable law or regulation.
- Failure to obtain or maintain any required permit, license, approval, or authorization for the Event.
- Failure to determine, collect, report, or remit any tax or comply with any reporting obligation.
- Inaccurate, misleading, or incomplete information provided to Eve or to Customers.
- Organizer content, marketing materials, or ticket sales activities.
- Any chargeback, refund, or dispute arising from ticket sales.
- Infringement of any third-party intellectual property, privacy, or publicity right.
- Regulatory inquiry, enforcement action, fine, or penalty directed at or resulting from Organizer’s activities.
Customers will indemnify Eve against claims arising from breach of these Terms, unlawful Platform use, unjustified chargebacks, or ticket fraud, subject to non-excludable Israeli consumer-protection rules.
16. Changes to the Terms
Eve may amend these Terms from time to time. Material amendments adversely affecting users will take effect on not less than thirty (30) days’ prior notice via email, in-Platform notification, or posting an updated version. Shorter or immediate notice may apply where required by law, regulation, security, Payment Provider requirements, or emergency conditions. Continued use after the effective date constitutes acceptance.
17. Term and Termination
These Terms run from account creation until terminated. Either party may terminate per this Section. Immediate termination without notice is permitted on material breach, security or compliance risk, or where required by law, regulator, Payment Provider, or court order. Upon termination: access ceases; the Organizer must fulfill pending Ticket Sale Contracts or coordinate wind-down; Eve may retain funds, reserves, and records for as long as reasonably necessary to handle chargebacks, refunds, disputes, tax, and regulatory obligations. Sections that by nature survive (including Definitions, 4.1, 6–8, 10–15, 18, 19) survive termination.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles, and excluding the UN Convention on Contracts for the International Sale of Goods. Subject to mandatory consumer-law provisions, the parties submit to the exclusive jurisdiction of the competent courts of Tel Aviv–Jaffa, Israel. For Israeli consumer disputes, non-excludable rights under the Israeli Consumer Protection Law, 5741–1981 and the Standard Contracts Law, 5743–1982 are preserved.
This paragraph applies to Organizers and other business users. A Customer acting as a consumer may bring a claim in the courts competent under the law of their residence, is never required to arbitrate, and nothing here limits their right to bring or join a class action. Before any formal proceeding, the parties will attempt informal resolution through Platform support for at least thirty (30) days. Where permitted, disputes may be finally resolved by binding arbitration administered by the Israeli Institute of Commercial Arbitration, seated in Tel Aviv, conducted in English, before one or three arbitrators — except where arbitration is not permitted (including certain consumer disputes) or where injunctive relief is sought. To the extent permitted, disputes are resolved on an individual basis, and class/collective/representative actions are waived, except for non-waivable rights under the Class Actions Law, 5766–2006.
19. Miscellaneous
